The Services are operated by [Legal Company Name] (“Telexa,” “we,” “our,” or “us”).

By accessing or using our Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you confirm that you have the authority to accept these Terms on its behalf. In that case, “you” and “your” also refer to that organization.

If you do not agree to these Terms, you must not access or use the Services.

Eligibility and Accounts

You must be legally capable of entering into a binding agreement to use our Services.

Certain features may require you to create an account or access a workspace provided by your organization. You agree to provide accurate information, keep your account details up to date, and protect your login credentials.

You are responsible for activities conducted through your account and must notify us promptly if you suspect unauthorized access or a security breach.

We may restrict or suspend access if we reasonably believe that an account has been compromised or used in violation of these Terms.

Description of Services

Available features may include dashboards, reports, automated alerts, integrations, forecasting tools, and AI-generated insights.

Features and functionality may vary depending on your plan, configuration, connected services, and applicable agreement. We may introduce, update, or discontinue features as our Services evolve, subject to applicable law and any separate agreement with you.

You agree to use the Services lawfully and responsibly. You must not:

  • Use the Services for unlawful, fraudulent, deceptive, or unauthorized purposes.

  • Access, collect, or process data without the necessary rights, permissions, or legal basis.

  • Attempt to gain unauthorized access to accounts, systems, networks, or data.

  • Interfere with the security, integrity, or performance of the Services.

  • Introduce malicious code, harmful files, or other disruptive technologies.

  • Reverse engineer, decompile, or attempt to extract source code from the Services, except where applicable law expressly permits it.

  • Copy, resell, sublicense, or commercially exploit the Services without our prior written authorization.

  • Use the Services to develop or benchmark a competing product in a manner prohibited by applicable law or a separate agreement.

  • Use automated methods to access the Services in a way that exceeds authorized use or places unreasonable demands on our systems.

We may investigate suspected violations and take reasonable action to protect the Services, our users, and third parties.

Customer Data and Responsibilities

You retain your rights to the data, files, content, and other materials that you submit to or connect with the Services (“Customer Data”).

You grant Telexa permission to host, process, transmit, and use Customer Data only as reasonably necessary to provide, maintain, secure, and support the Services, fulfill your instructions, and meet applicable legal obligations.

You are responsible for ensuring that you have the rights and permissions necessary to provide Customer Data and connect third-party services. You must also ensure that your collection and use of such data comply with applicable laws and your agreements with relevant data providers.

You should not submit sensitive personal information unless the Services and your applicable agreement expressly support that processing.

Where Telexa processes personal data on your behalf, the parties may need to enter into a separate Data Processing Agreement (“DPA”) setting out their respective obligations.

Our handling of personal information is further described in our Privacy Policy.

AI-Generated Insights

The Services may use automated systems and artificial intelligence to analyze data, detect patterns, identify anomalies, generate forecasts, and provide recommendations or other outputs (“AI Outputs”).

AI Outputs are provided to support analysis and decision-making. They may be incomplete, inaccurate, outdated, or based on assumptions that do not reflect your specific circumstances.

You are responsible for reviewing AI Outputs and evaluating their suitability before relying on them. AI Outputs should not be treated as professional, legal, financial, medical, or other regulated advice, and should not be the sole basis for consequential decisions without appropriate human review.

You remain responsible for decisions made using the Services, including decisions affecting your customers, employees, operations, finances, or business strategy.

Any use of Customer Data to train or improve AI models will be governed by our Privacy Policy, applicable agreements, and applicable law.

Third-Party Services and Integrations

The Services may connect with or rely on third-party applications, platforms, APIs, and data providers.

Your use of those third-party services may be subject to separate terms and privacy policies. You are responsible for ensuring that you are authorized to connect them and for maintaining any necessary permissions or subscriptions.

Telexa does not control third-party services and is not responsible for their availability, content, functionality, security, or changes, except to the extent required by applicable law or expressly agreed in writing.

An integration may become unavailable if a third party changes, restricts, or discontinues its service.

Fees and Payment

Some Services or features may require payment. Where applicable, fees, billing periods, renewal terms, taxes, and payment conditions will be specified on the relevant order form, subscription page, or separate agreement.

Unless otherwise stated in the applicable agreement, fees are payable according to the stated billing terms. You are responsible for applicable taxes, excluding taxes based on Telexa’s net income.

Any cancellation, refund, or renewal rights will be governed by the applicable subscription terms and mandatory consumer or business protection laws.

If the Services are provided under a separate written agreement, that agreement will prevail over this section to the extent of any conflict.

Intellectual Property

The Services, including their software, design, branding, interfaces, documentation, and underlying technology, are owned by Telexa or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms and any applicable subscription agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose during the period in which you are authorized to use them.

Except for the rights expressly granted in these Terms, no ownership rights are transferred to you.

You retain your rights in Customer Data. Subject to applicable law and your agreements, you may use AI Outputs generated through your authorized use of the Services. Such outputs may not be unique, and similar outputs may be generated for other users.

Confidentiality

Each party may receive non-public information from the other party in connection with the Services. The receiving party agrees to use reasonable care to protect such confidential information and to use it only for purposes related to the Services or the parties’ agreement.

Confidentiality obligations do not apply to information that is publicly available without breach, already lawfully known, independently developed, or lawfully received from another source without confidentiality restrictions.

A party may disclose confidential information where legally required, subject to any lawful notice obligations.

Availability and Changes

We aim to provide reliable access to the Services but do not guarantee uninterrupted or error-free operation unless expressly stated in a separate service-level agreement.

Access may occasionally be affected by maintenance, technical issues, security incidents, internet connectivity, or third-party service disruptions.

We may update the Services to improve functionality, security, or performance. Where a change materially affects your rights under a separate agreement, the terms of that agreement will apply.

Suspension and Termination

You may stop using the Services at any time. If you have a paid subscription, cancellation and termination will be subject to the applicable subscription terms.

We may suspend or terminate access where reasonably necessary because of a material violation of these Terms, a security risk, non-payment, unlawful activity, or a legal requirement.

Where appropriate and legally permitted, we will provide notice and an opportunity to remedy the violation before taking action.

Upon termination, your right to use the Services will end. Customer Data export, retention, and deletion will be handled in accordance with the applicable agreement, our Privacy Policy, and legal requirements.

Provisions that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, confidentiality, liability, and dispute resolution.
